Terms and Conditions

Estimates: Estimates are valid for 15 calendar days unless extended by an authorized All Rounder Systems, LLC. (“Us”, “We”, ”Our”) representative in writing or by email.

To Place Your Order: When the estimate and these Terms and Conditions are both signed by the Customer (“You”, “Your”) they constitute a purchase order for the products listed in the invoice at the estimated amounts. A 10% non-refundable down payment and a full size set of plans are also required with the purchase order. The plans should be an extra set as they will not be returned.

Final Contract Price: Your final price and invoice will be prepared after ThermaSteel Corporation shop drawings are approved by You. If the final price exceeds 110% of the estimate You may cancel the order and Your down payment will be refunded in full.

Your Approval to Commence Production: Once You approve the shop drawings and confirm the order, the balance of 90% will be required to commence production. Your approval of the shop drawings signifies that You (or your design professional) have reviewed and accept the plans and the panels will be manufactured exactly to those specifications. Revisions will incur charges from ThermaSteel Corporation so care before approving plans is critical.

Method of Payment: Our preferred payment is by bank to bank wire transfer which eliminates any project hold or delay while We wait for checks to clear or credit cards to be processed. Where You are able to provide an irrevocable standby letter of credit to secure payment We will offer appropriate installment terms but 100% of the final invoice price must be paid before the order will be released at the factory and shipped to You. Where payments are made in currency other than US Dollars, Canadian Dollars, British Pounds, or Euros, the cost of currency conversion will be added to Your final payment.

Title Passes at Factory: You take title at the ThermaSteel Corporation factory in Radford, Virginia, USA, and all ground and sea freight fees and insurance are charged at cost to You. A person You identify will be designated as the receiving party at the port of destination. Shipping payments must be made in advance. We will assist in making the shipping arrangements at no extra fee.

Excise, Custom, Import, Sales, Use, VAT And Other Similar Taxes: You are responsible for all such government charges.

All Rounder Systems Is Not Acting As Design and/or Engineering Professional: Neither All Rounder Systems, LLC nor ThermaSteel Corporation, are serving as Your design and/or engineering professional. You are representing to Us that You have secured competent design and engineering professionals upon whom you rely for the design and engineering services related to Your project.

Panel Erection Services Available: Absent a written agreement to the contrary, We are serving as a materials provider only. However, at Your request, We will select, coordinate and supervise competent contractors to erect the panels. Our fee for this service is customized to the project and a separate written agreement covering such services will be negotiated between the Customer and All Rounder Systems, LLC.

Limited Warranty and Limitation on Damages: Provided the products have been installed by Us, or properly installed by a contractor of Your choice, and not otherwise abused or misused, then We provide a one year replacement warranty for any defects in materials or manufacture. No other warranty, express or implied, applies. Our maximum liability, upon any theory of law or equity, will be the price paid to us for the products. All claims, arbitrations, or legal action, of any sort, must be filed within one year from the date the products are released to You at the factory.

Right to Use Images and Post the Job Site: You authorize Us to take and use images of Your structure in future advertisements and promotions. In addition, You grant permission for Us to place a sign (no larger than 32 square feet) on the job site for no longer than 90 days, indicating that ThermaSteel® is being used and providing contact information for others who may want information about the products.

Applicable Law, Jurisdiction, Amendments, and Arbitration: This transaction is governed by the laws of the Territory of the United States Virgin Islands and the United States of America. All amendments must be in writing, signed by You and by Us. In the event of a dispute that cannot be negotiated in good faith, the Parties agree to binding arbitration before a single arbitrator sitting in Christiansted, St. Croix, USVI, or other mutually agreed location, under the auspices of the American Arbitration Association. The prevailing party shall also be awarded all of their reasonable attorney fees and related costs and expenses.
